第3讲 国际工程承包招标,3.1 招标的方式和程序 FIDIC推荐的方式和程序，已成为国际惯例。 1、招标方式：主要有3种，公开招标、邀请招标和议标。 （1）公开招标：投标单位数量不限，通过资格预审的单位都可参加。在报纸、网络或有关刊物上刊登招标广告。 （2）邀请招标：不登广告，业主根据经验和资料确定58家，不能少于3家。 （3）议标（Negotiated Bidding）：指定招标。协商谈判，特殊工程，需特批。,其它招标方式：以上方式的扩展,（1）两阶段招标（Two Stage Bidding）：对设计与建造总承包和交钥匙工程及某些大型复杂工程，事先较难准备完整技术资料。 先邀请投标方根据概念设计或性能要求提交不带报价的技术建议书（Technical Proposal）， 经业主仔细评审后，选择技术 先进、符合要求的方案，再适当要求统一改进。凡同意改进技术，接受新方案的投标方可参加第2阶段投标，提交最终技术建议书和报价。 世界银行、亚洲开发行项目均允许采用两阶段招标。,（2）双信封招标（Two-Envelope Bidding Procedure）：,适用于技术先进、施工工艺复杂的项目，要求承包商提交最合理的施工方案或提出替代的技术方案，即所谓的技术标与财务标分开。 评标时首先开封技术建议书，并审查技术方面是否符合招标要求，只有技术标合格的投标方，才可参加下一步的评审；不合格者，其价格建议书将原封退回。,2、国际工程招标程序：,一般分三大步骤： A、对投标者进行资格预审； B、向有资格的投标人发售招标文件，以及投标者准备并递交投标文件； C、开标、评标、合同谈判和签订合同。 一、资格预审（Pre-qualification）： 国际工程必须的重要步骤。了解投标方的经历和过去履行类似合同的情况、施工能力、财务状况等，淘汰不合格者，减少评标费用，排除将合同授予不合格者的风险。资格预审的程序： 1）编制资格预审文件：工程项目简介、对投标者的要求、各种附表等。,2）刊登资格预审广告：,内容：业主和工程的名称、所在位置、概况和合同包含的工作范围、资金来源；资格预审文件的发售日期、时间、地点和价格；预定的计划（工程开工、竣工日期等），招标文件颁发和提交计划日期；申请资格预审须知；提交地点、日期、时间；最低资格要求等。 一般应在颁发招标文件计划日期前1015周发布，资格预审文件应在前48周提交。从发布通知到报送文件截止日期应不少于4周。,3）出售资格预审文件。指定时间、地点。,4）对资格预审文件的答疑； 5）报送资格预审文件，规定时间、地点等。 6）资格预审文件评审和结果通知。 资格预审的主要审查内容： 1）财务状况：提交的财务报表，银行开具的近年资金情况报告等。 2）施工经验与过去履约情况： 3）人员情况：管理人员和技术人员的学历、经历、资格证书等。 4）施工设备：大型、先进性，数量和种类。,资格预审文件实例,PRE-QUALIFICATION REQUEST FOR PROPOSAL FOR THE SHAFT DEEPENING AND RELATED DEVELOPMENT/CONSTRUCTION RFP FOR CONTRACT NO. The mine is approximately 28 km east of Rize and the nearest town, Cayeli, is 8 km north of the mine. Access to the Site from Cayeli is by the Cayeli/Kaptanpasa road only. The project area can be reached by road from Ankara or via Samsun, Trabzon and Rize. The road distance from Ankara is approximately 900 km. The mine site can also be reached by Turkish Air to Trabzon (via Ankara or Instanbul) and then driving approximately 100 km to Cayeli. 1.2 THE OWNER Cayeli Bakir Isletmeleri A.S. was created under the laws of Turkey, as provided for in decree number 83/6533 of the Council of Ministers dated April 26, 1983. The purpose of the,company is to develop copper, zinc and certain other mineral resources in the north-eastern part of Turkey. 1.3 THE PROJECT The mine is operated by Cayeli Bakir Isletmeleri AS (CBI) and produces copper and zinc concentrates by processing massive sulphide ore. Present ore production is 1.0 million tonne. As part of Cayelis ongoing long term production planning, ore production will be increased to 1.3 million tonnes. Cayeli plans to deepen their existing ore hoisting facility. The Work for the deepening project involves: The scope of work is outlined as follows: 1、 Engineering, design, fabricate, transport and set-up of appropriate shaft sinking plant. The existing shaft service hoist and cage compartment of the shaft will be made available for use by the Contractor.,2、 Pre-sinking preparation of the facility as required. The Owner may expedite portions of this work with independent workers decision prior to award. 3、Perform such works in the shaft in order to establish the sinking face while allowing continued mine production from the existing ore handling facilities. This may/will include excavation of the spill raise, installation of the shaft sinking/deflector bulkhead below the existing 900 Level loading pocket, shaft bottom cleanout, temporary removal of shaft steel sets, modifications to the shaft headframe structure to allow surface dumping of waste rock, etc. 4、 Deepening the production shaft (surface elevation nominal 1109 metres) from the current elevation (835 metres elevation) to 540 Elevation (nominal 295 metres of sinking). Concurrently, install pattern ground support as defined in the specifications, and install a 25 MPA monolithic concrete lining to 5.5 metres final inside diameter. Install shaft steel sets, services and,electrics in accordance with project construction and final design requirements. At shaft bottom, excavate a “stub” station approximately 10 metres long (for future breakthrough of shaft bottom ramp). 5.0 At the 570 Level, slash and line, in accordance with specifications, for a twin flask (two compartments) loading pocket. Install and commission loading pocket. 6.0 At the 570 Level, excavate and support the main shaft station (nominal 2,300 cu m) in accordance with the final design and specifications. 7.0 Conduct shaft changeover as required to utilize the shaft cage and skips to the new elevations. 8.0 Transport equipment underground via shaft and complete the mine development program as identified. One purpose of the program is to complete the slimes/spill handling/pumping system at/near 570 Level, connecting to the existing Geho dewatering sump/pump at 900 Level.,9.0 The development program will also complete the lower level ore handling system excavations. The system includes an extended length loadout conveyor from the shaft loading pocket, associated ore pass raises (3) complete with chain controls, and vibratory feeders. 10.0 All excavations will be completed with final ground support (generally rebar bolts, cable bolts, and shotcrete) as specified. 11.0 Upon completion of the work, the Contractor shall remove, except as directed by the Owner representative, all temporary plant, buildings, surplus materials, equipment, tools, rubbish and debris. The Contractor shall leave the work site previously under his control and responsibility in a neat, clean and safe condition.,2.0 INSTRUCTIONS FOR SUBMITTING PRE-QUALIFICATION PROPOSALS 2.1 GENERAL Pre- Qualification Proposals (Proposals) for the work specified in this documents must be submitted in accordance with the following instructions. 2.2 THE OWNERS REPRESENTATIVE For the purpose of liaison between the Owner for the pre-qualification process and the Contractor, the Owners representative will be: Mr. John Wright Technical Manager Cayeli Bakir Isletmeleri A.S. The original and Two (2) copies of the Pre-qualification Proposals shall be submitted by courier to the address specified above and labeled as follows:. PRE-QUALIFICATION PROPOSAL RFP for Contract No. CAY 262 CAYELI MINE SHAFT DEEPENING & RELATED DEVELOPMENT/ CONSTRUCTION Sealed Proposals must be received on or before 30 January, 2003 at 12:00 hours local Turkish time (the “due date”). Note that faxed and/or e-mailed Proposals will be accepted but must be accompanied by a faxed copy of the appropriate signed courier receipt as proof of compliance that the appropriate original and copied documents are being delivered.,Proposals will not be opened in public. The Contractor is to note that the Owner has the right to reject all or any proposals without explanation. 2.3 SCOPE OF WORK A general description of the Scope of Work has been provided in Section 1.3. 2.4 SCHEDULE OF WORK The following tentative schedule is for the Contractors information. Tentative Schedule Issuing Tender Documents - early February, 2003 Closing of Tenders - late March, 2003 Expected Award of Contract - mid-April, 2003 Completion of work - June. 2005,2.5 COMMUNICATIONS All communications, written and spoken, between both parties in connection with this Proposal and Contract will be in the English language and shall reference the RFQ or Contract Number as applicable. 2.6 CONTRACTORS REPRESENTATIVE AND SIGNATURES The signature(s) on behalf of the Contractor must be in the handwriting of officers authorized to sign contracts for that party. The Contractor must give the full legal name under seal, the business address of their company and consortium, and identify persons competent and authorized to discuss the details of the Proposal. 2.7 PROPOSAL CLARIFICATION No oral interpretations shall be effective to modify the provision of the Pre-Qualification Proposal Documents. Every request for,interpretations shall be made in writing by letter, or facsimile, to the Owner. 3.0 CORPORATE INFORMATION The Contractor must submit the following corporate information: Corporate background and organization. Total current contracted workload. Number of home office and site personnel. 4.0 FINANCIAL INFORMATION 4.1 The Contractor must submit the following corporate information: Financial Report. Total estimated revenue for the next three (3) years (total corporation and mine contracting division (if applicable) Bonding Limits Certificates of insurance. 4.2 The Contractor acknowledges that by his signature hereunder, he consents to the Owner obtaining a credit report on the Contractor. Two bank references are to be supplied。,5.0 RELATED MINE CONTRACTING EXPERIENCE The Proposal must include details of the Contractors total shaft sinking and underground development and construction experience in undertaking projects of a similar magnitude and similar ground conditions to that of the Work. A list of relevant projects completed in the past five (5) years shall be presented with the proposal. The list shall incorporate: Descriptions of the Projects including location and key statistics (i.e. shaft diameter, shaft depth , linear meters of development etc) Short description of manpower, equipment, and methods used in each project. 6.0 INTERNATIONAL MINE CONTRACTING EXPERIENCE The Proposal must also include details of the Contractors international (ie outside of the home country) shaft sinking and underground development and construction experience in undertaking projects of a similar magnitude and similar ground,conditions to that of the Work. A list of relevant projects completed in the past five (5) years shall be presented with the proposal. The list shall incorporate: Descriptions of the Projects including location and key statistics (i.e. shaft diameter, shaft depth , linear meters of development etc) Short description of manpower, equipment, and methods used in each project. Project contact references including name, title, address, telephone number, telefax number and email address (if available),7.0 HEALTH AND SAFETY PROGRAM & RECORD The Contractor shall supply a copy of his standard safety program with the Proposal as well as a summary of the companys accident history over the past five (5) years. If the company is involved in several distinct areas of work, the relevant statistics for the division responsible for shaft sinking and mine development are to be used. Resumes of key personnel shall be submitted with the organizational chart. The proposal shall identify the location of the Contractors administration and engineering offices for the Work. In the event that the Contractor would form a Joint Venture for this project, a list of key personnel from all companies involved in the Joint Venture shall be submitted for the Owners review.,二、招标文件的颁发到递交：,1）编制和发售招标文件（Issue of Tender Documents）：是投标人准备投标文件的依据，也是评标的依据、最后合同的基础，十分重要。（后面专讲编制方法） 2）现场考察（Site Visit）：多数工程为必须环节，按照惯例，期间的费用和风险全由投标方负担。取得业主开具的现场考察证明。 3）组织标前会议并解答投标人的问题（Pre-bid Meeting and Clarification of Bidding Documents）：可与现场考察同时进行。可书面意见，可能修改、增删部分内容，应发正式补遗（Addendum）通知。,4）投标人组织编制投标文件（Preparation of Bid）：,5）投标书的递交和接受（Submission and Receipt of Tender）： 在规定的投标截止日期（Deadline）之前，按要求密封、签字之后邮寄或直接递交。应有专人签收保存，开标之前不得启封；若未按时递交，则原封退回。 一般国际工程投标截止日期（Deadline for Submission）也正是开标时间，递交完标书可同时参加开标会，很少有提前邮寄标书的。,三、开标、评标、决标与签约：,1）开标（Bid Opening）：在规定的日期、时间、地点当众宣布所有投标文件中的投标人名称、是否按要求开具了投标保函及报价，如果有降价信函和备选方案报价，也必须当场宣读。 开标后，不再允许更改投标内容和报价，不接受新增的优惠条件。 2）评标（Bid Evaluation）：由专门评标委员会进行。按事先的评标规定。 投标文件的初步审核，实质性响应检查（Substantial Responsiveness），报价核对。,正式评标内容：,a）价格评比：折算同一标准，考虑各种应享受的优惠，给出各方的评标价格，排队。 b）施工方案比较：工期、设备等。 c）人员审核，数量、经验、资质等。 d）其他优惠条件：设备赠予、技术协作、专利转让、当地人员雇佣等。 可约见投标人答复有关问题，书面承诺。 3）决标（Award of Contract）： 根据评标结果，由招标机构和业主共同商定中标者。一般贷款项目，还须金融机构意见。 业主向中标方发通知书（Letter of Acceptance），写明授标的价格、应在何时、何地与业主商签合同。,4）业主商签合同协议书（Signing of Agreement）,按照国际惯例，投标者收到中标通知书后，应按时向业主提交履约保函，同时换回投标保函。如果不按时提交，投标保函将被没收，同时可向第2位满意的投标方发出中标通知书，或宣布废标。 中标方签合同后，对未中标方发出未中标通知书，可不必说明原因，同时退还投标保证金。 由于合同条款一般在标书中已确定，谈判余地对承包方很小。,5）废标（Rejection of all Bids）：,招标书中一般都有业主有权拒绝所有投标、无条件终止招标的条款。通常以下3种情况下，业主可以废标： A、实质响应性最低标价也大大超过投资估算（一般20%以上），无力接受投标； B、所有的投标文件都不符合招标文件的要求； C、最终投标者过少（不超过3家），没有竞争性。 业主应研究废标的原因，采取扩大招标广告，主动谈判等措施。绝不允许为了压低标价随意废标，再以同样条件招标的做法。,3.2 招标文件的标准格式,世行标准招标文件（Standard Bidding Docu-ments for Works）是资助超过1000万美元项目强制使用的范本。具有广泛影响力。其结构一般都是由4卷11章组成，具体内容如下： 第1卷：第1章 投标邀请书 第2章 投标人须知 A 总则，B 招标文件，C 投标书的编制，D 投标文件的递交，E 开标与评标，F 授予合同 第3章 投标资料表， 第4章 合同通用条件， 第5章 合同专用条件,第2卷 第6章 技术规范,第3卷 第7章 投标书、附件和投标保函格式 第8章 工程量表 第9章 协议书格式、履约保函格式及预付款保函格式 第10章 世行资助的采购中货物、土建和服务的合格性 第4卷 第11章 图纸 一、投标邀请书内容： （1）通知资格预审已合格，准予参加投标； （2）购买招标文件的地址和费用； （3）按规定格式和金额递交投标保函；,（4）召开标前会议的时间、地点，递交投标书的时间、地点等； （5）要求以书面形式确认收到此函，如不参加投标应通知业主方。 以上不属于合同文件的部分。 二、投标人须知（Instruction to Bidders）： 招标文件的重要组成部分，指导性文件，投标期间业主、投标人权利和义务的约定。不属于合同的部分。共6部分39条内容： （1）总则（General）： 1）招标范围（Scope of Bid）： 2）资金来源（Source of Funds）：,3）合格的投标人（Eligible Bidders）：,满足以下几个条件： A、须来自世行采购指南规定的合格成员国； B、不得与本工程业主提供咨询服务的公司或实体有任何联营、合作关系； C、必须通过资格预审，当业主提出合理要求时，应提供对其资格满意的材料； D、被公布有过腐败和欺诈行为的公司，不允许参加投标。 4）合格的材料、设备供货服务： 必须源于世行规定的原产地国家。,5）投标人的资格（Qualification of the Bidder）：,投标者应同时递交一份投标书面授权书。此外，可对资格预审中的资料进行必要更新，当年和今后两年的财务预测，新承担工程等。 6）一个投标人投一个标（One Bid per Bidder）：否则，投标作废。 7）投标费用（Cost of Bidding）：投标方承担一切发生的费用。 8）现场考察（Site Visit）： 应当按业主要求和规定的日期，赴现场考察，一切费用自负。,（2）招标文件（Bidding Documents）,9）招标文件的内容（Contents of Bidding Documents）：列出招标文件的卷数、章节，也就是总目录。 10）招标文件的澄清（Clarification of Bidding Documents）：要求投标人在收到招标文件后应仔细阅读和研究，发现遗漏、错误等，应书面质询，否则后果自负。 11）招标文件的修改（Amendment of Bidding Documents）：在投标截止日期前的任何时候，业主有权修改招标文件，正式通知各方，必要时可延长投标截止日期。,（3）投标书的准备（Preparation of Bid）：,12）投标的语言（Language of Bid）：规定 13）组成投标书的文件（Documents Comprising the Bid）：投标书及其附件、投标保函、标价的工程量表、有关资格证明；提出的备选方案等。 14）投标报价（Bid Prices）：工程总价格，包含当地有关税收规定的全部关税。一般投标截止日前28天的税率。 15）支付的货币（Currencies of Bid and Payment）：两种选择：工程所在国货币，列出外币比例；或报价列出比例。,16）投标有效性（Bid Validity）：,投标有效期，截止日到公布中标日，一般90120天，不超过180天。特殊情况可延期，需要书面通知，投标方有权同意或拒绝，不得没收保证金。若超过8周，需考虑外币比价影响。 17）投标保证（Bid Security）：投标人按规定的格式开具的信用证（Letter of Credit）或银行保函（Bank Guarantee），又称投标保函（Bid Bond）。有效期为投标有效期后的28天。保证金额可固定或按工程总额13%估算确定。无保函者为不合格。,18）投标人的备选方案建议（Alternative Proposal by Bidders）,在满足原工程项目基本设计要求的基础上，提出更好的优化设计。但应以原标书报价。 19）标前会议（Pre-bid Meeting）：解答质询，规定日期、时间和地点。 20）投标文件的格式和签署（Format and Signing of Bid）： 应规定提供正本（Original）和副本（Copy）的份数，声明如有不一致以正本为准。 正本、副本的每一页均应由正式授权的投标人签注确认，任何修改的地方全需签署。,（4）投标文件的递交（Submission of Bid）,21）投标文件的密封和印记（Sealing and Marking of Bid）：是否两层信封、文字要求。 22）投标截止日期（Deadline for Submission of Bid）：规定截止日期和时刻。 23）迟到的投标文件（Late Bids）：规定将原封不动地退还投标人。 24）投标文件的修改、替代和撤消（Modification、Substitution and Withdrawal of Bids）：在投标文件截止日期以前，可以通过书面形式提出，但需按有关规定编制和签署。,（5）开标与评标（Bid Opening and Evaluation）：,25）开标（Bid Opening）：规定时间和地点举行开标会议。检查密封、签署、和完整性，是否递交投标保函。公开宣布，包括修改或替代的书面文件。 26）过程保密（Process to be Confidential）： 开标后，宣布中标前，评标过程严格保密。 27）投标文件的澄清及同业主接触：必要时 28）投标书的检查和符合性的确定（Examination of Bids and Determination of responsiveness）：标书是否按要求编制。,29）错误的修正（Correction of Errors）,数字金额与文字表示不符，则以文字为准，单价乘工程量之和不等于总价时，以单价为准；小数点有明显错误，以总价为准；发现错误需投标人确认修改，不改者，可拒绝投标文件。 30）折算成一种货币（Conversion to Single Currency）：确定货币及折算比率。 31）投标文件的评审和比较（Evaluation and Comparison of Bids）：提出量化评标方法，可不考虑物价等预期影响。 32）本国投标人的优惠（Preference for Domestic Bidders）：世行项目7.5%.,（6）授予合同（Award）：,33）授予合同：满足各项要求，投标报价最低或合理，综合评分最高。 34）业主有权接受任何投标和拒绝任何或所有投标（Employers Right to Accept Any Bid and to Reject Any or All Bids）：声明对因此受到影响的投标人不负任何责任，也没有义务说明原因。 35）授予合同的通知（Notification of Award）：在有效期满之前，应以电报或电传通知中标人，并用特挂寄出正式中标函，明确合同价格。,36）签订协议（Signing the Agreement）：,在寄发中标函的同时，应确定签定协议的时间和地点，中标方应按时派全权代表与业主签合同，并同时递交履约保函（执保函）。 37）履约保函（Performance Security or Bond）：在收到种标通知后一段时间（如2028天），向业主递交履约保函。如未按规定递交，业主有权取消其中标资格。 38）争端审查委员会（DRB，Disputes Review Board）：规定争端解决办法。 39）腐败或欺诈行为（Corrupt or Fraudulent） 一旦发现，将拒绝授予合同。,三、招标资料表（Bidding Data）：,由业主在发售招标文件前对应投标人须知中的有关各条进行编写的，为投标人提供具体资料、数据、要求和规定。 四、通用合同条件（General Conditions of Contract）：已经标准化、国际化，不论在何处施工，适用于承发包双方需要。 五、专用合同条件（Special Conditions of Contract）：针对具体工程项目的需要，业主方对合同条件的补充和修改。 六、技术规范（Technical Specifications）：特定的技术规程，施工要求、质量标准、计量方法、验收标准、工程记录等。,3.3 投标书、附件及保函格式：,1、投标书格式（Form of Bid）：是业主在招标文件中为投标人拟订好的、固定格式的以投标人名义写给业主的一封信，避免投标人漏掉重要内容和承诺，而导致今后的歧义和争端。 2、投标书附件（Appendix to Bid）： 重要合同文件，要求、规范和图纸都在附件中。 3、投标保函格式（Form of Bid Security）： 担保投标者在业主规定时间内不随意撤消其投标，且能按时提供履约保函，签定合同。一般采用银行保函，其格式和内容如下：,BID SECURITY _ _/_ _/_ _ _ _ No:.
