2、& TRADINGTECH公司所代理的产品 ( 简称产品 ) 的代理权授予代理方 ( 简称代理人 ) 。代理人优先在下列指定地区( 简称地区 ) 推销产品中国大庆采油六厂。代理方式可由以下三种方式一:专业知识 -整理分享WORD 格式 -可编辑CINIA TECH & TRADINGTECHAB (Here withnamed as SSV) agrees to authorizean agential right of SSVs product or agential product sales to (.Theagent ) . The agent has the init

3、iative right to sell within the regionof daqing sixth oil extraction factory. One agential method is to beselected from the following three means:1-1 代理人直接与客户签订销售合同;1-1 The agent signs the sales contract directly with the customer;1-2 CINIA TECH & TRADING、代理人共同与用户签订销售合同1-2 CINIA TECH & TRADI

4、NG and the agent sign sales contract simultaneously.1-3 CINIA TECH & TRADING直接于用户签订销售合同1-3 CINIA TECH & TRADING signs the sales contract directly with thecustomer.以上三种型式在具体工程项目中由CINIA TECH & TRADING、代理人双方共同协商决定。The selectionof which meansis decided by the negotiationof both partnersaccor

5、ding the concrete project.第二条代理人的职责、 CINIA TECH & TRADINGTECH公司的职责2. Responsibilities and duties of the agent and CINIA TECH & TRADING专业知识 -整理分享WORD 格式 -可编辑2-1 代理人职责:2-1 The agent responsibilities and duties:2-1-1.非经 CINIA TECH& TRADING公司的同意,代理人不得经“地区”之外的地方征求定货。如代理商在地区外销售,应事先通知CINIA TECH

6、& TRADING公司,得到许可方能进行销售。2-1-1.Withoutthe approvalof CINIA TECH & TRADING, the agent shall notplace any order to any customer who is outsideof the appointed"region".CINIA TECH& TRADINGmust be informed of any sales outsideof the appointedregionin advance and approvalmust be grante

7、d byCINIATECH& TRADING.2-1-2. 代理人无权代表CINIA TECH & TRADING公司签订任何具有约束的合约。2-1-2.The agent has no rightto representCINIA TECH& TRADING signingany form of contract that has stipulation.2-1-3. 代理人应把 CINIA TECH & TRADING公司规定的销售条款对用户解释。2-1-3. The agent should explain CINIA TECH &TRADINGs

8、 sales policy tothe customer.专业知识 -整理分享WORD 格式 -可编辑2-1-4. 代理人自行负责开拓市场与发展用户时,在代理业务中保证向用户提供良好的服务,不得以欺诈、胁迫等不正当手段损害客户及制造商的利益及CINIATECH & TRADINGTECH公司的声誉。2-1-4.The agent expands and develops the market on his own responsibility.Duringthemarketingprocess,theagentshallprovidesatisfactoryservice to the

9、 customer. Any mean of cheating and/or coercing, whichdamages the benefit and/or reputation of the customer or of CINIA TECH& TRADING is strictly prohibited.2-1-5. 代理人保证其所有经营活动完全符合中国有关法律、法规、行政规章等的规定。如因代理人违反上述规定的行为给CINIA TECH & TRADING公司带来任何损害,代理人应承担所有法律责任并赔偿给CINIA TECH & TRADING公司造成的损失。2

10、-1-5. The agent guarantees its total operative activity to comply withthe relevantlaw, regulationin China. Any loss or damageoccurred to CINIATECH & TRADINGdue to the agent s breach, the agent shall bear legalresponsibility and give compensation to CINIA TECH & TRADING.2-1-6. 代理人保证遵守中华人民共和国价

11、格法的规定,不以低价倾销制造商设备产品; TECH公司的推荐价格供代理人在代理时参考。2-1-6.The agent guarantees tocomply with the pricelaw of the People'sRepublicof China. The agent shallnot dumpthe productwith lower price;专业知识 -整理分享WORD 格式 -可编辑CINIA TECH & TRADING shall refera recommended price to theagent duringthe agential period

12、.2-1-7. 代理人应对 CINIA TECH & TRADING公司明确提示为保密资料的信息给予保密。2-1-7.The agent shallkeep the confidentialityof any defined informationor document that is provided by CINIA TECH & TRADING.2-1-8.代理商宣传 CINIA TECH & TRADING产品的资料必须经CINIA TECH &TRADING公司的审核后方可进行宣传, 否则由此引起的问题由代理方承担.2-1-8. All marketi

13、ng material shall be approved by CINIA TECH & TRADINGbefore the agent commences the marketing and propaganda process.Otherwise any caused problem due to unapproved marketing material shallbe undertaken by the agent.2-2 CINIA TECH & TRADING公司的职责:2-2 The duty and responsibility of CINIA TECH &

14、amp; TRADING:2-2-1 SSV公司应向代理人提供业务范围内的技术支持,帮助代理人提高技术能力,拓宽业务范围。2-2-1.CINIA TECH& TRADINGshallprovidetechniquesupportto the agent withinthebusinessscope,and developthe techniquecapabilityto the agent in terms to expendthe business scope.专业知识 -整理分享WORD 格式 -可编辑2-2-2 按照 1-1 方式, CINIA TECH& TRADING

15、公司原则上不直接与代理人的客户联系。在代理人的要求或邀请下除外。 按照 1-2 方式,由双方人员共同面对客户。按 1-3 方式双方就有关条款另行协议.2-2-2. According to 1-1, in principle, CINIA TECH & TRADING AB does notcontactthe agent s customer directly.Under a conditionof the requestand invitationfrom the agent, and accordingto 1-2, both partnerscontactthecustomer

16、together.Otheragreementshallbe made aftermutualdiscussion when it relates to 1-3.2-2-3. CINIA TECH & TRADING 公司向代理人提供必要的售后服务,在直接由代理人与用户签定的销售合同(1-1 )的情况下, CINIA TECH & TRADING公司的售后服务只对代理人, 原则上不直接面向代理人的客户。在由与代理人共同签订的销售合同( 1-2 )情况下,售后服务主要以CINIA TECH& TRADING公司为主,代理人协助售后服务。2-2-3. CINIA TECH&

17、amp; TRADINGAB provides the necessary after-salesserviceto the agent, under the circumstance of 1-1 that the agent signs thecontract with the customer directly; CINIA TECH & TRADING AB shall onlyprovidethenecessaryafter-sales servicetothe agent, in principleCINIATECH &TRADING doesnot contact

19、on ofthe agent andcustomer confidential.2-2-5. 在由代理人与用户直接签订销售合同(1-1 )的情况下,对于代理人与其用户之间的纠纷、 争议、损失、侵权、违约责任等,均由代理人与客户自行解决,CINIA TECH & TRADING公司不介入代理人与用户的纠纷、争议等,也不对用户的任何损失负责。在由CINIA TECH & TRADING公司、代理人共同签订的销售合同( 1-2 )的情况下,对于CINIA TECH& TRADING、代理人与其用户之间的纠纷、争议、损失、侵权、违约责任等,按照CINIA TECH &

20、TRADING公司与代理人在签订具体合同之前的约定双方职责执行。2-2-5.Under the circumstance of 1-1 that the agent signs the contractdirectlywith the customer,any disputes,argument, loss,tortand breachof contract shall be solved between the agent and the customer withoutCINIA TECH & TRADINGs involvement and responsibility towa

21、rd to thedispute. Under the circumstance of 1-2 that CINIA TECH & TRADINGand theagent sign the contract with the customer simultaneously, any disputes,argument, loss, tort and breach ofcontract shall be solved basedon thestipulated mutual responsibilities before the concrete contract.专业知识 -整理分享W

23、NIA TECH& TRADINGhas the rightto terminatethe implementation.第三条代理业务的职责范围3. The business scope of agential contract.代理人是 CINIA TECH & TRADING公司中国市场的代理之一,应收集信息,尽力促进产品的销售。 代理人应精通所推销产品的技术性能。代理所得佣金应包括为促进销售所需费用。The Agent is one of SSV s agents in the China market. The agent shallcollect marketing

24、 information, and make effort to promote the sales ofproduct. The agent should grasp the technique function of the products.The agential commission includes the marketing expenses.第四条广告和展览会为促进产品在该地区的销售, 代理人应刊登一切必要的广告并支付广告费用。凡参加展销会需经双方事先商议后办理。4. Advertisement and Exhibition专业知识 -整理分享WORD 格式 -可编辑For p

25、romoting the product sale in the agreed region, the agent should bear the whole expense of advertisements. Both partners shall negotiate the cost matter of attending an exhibition.第五条代理人的财务责任5-1 代理人应采取适当方式了解当地客户的支付能力。在代理人与用户直接签订销售合同情况( 1-1 )下,由代理人收回应付款。在由CINIA TECH & TRADING公司、代理人与用户共同签订的销售合同情况(

26、1-2 )下,代理人协助 CINIA TECH& TRADING公司收回应付货款 .5. The finance duty of the agent5-1 The agent should adopt an appropriate way of understanding thecustomer s payment ability.In the case of delayed payment, the followingapplies:Under the circumstance of 1-1, the agent has the duty to get the paymentback

27、. Under the circumstanceof 1-2, the agent assistsCINIA TECH& TRADINGto get the payment back.5-2 未经同意,代理人无权也无义务以CINIA TECH & TRADING公司的名义与用户签定销售合同,接受付款。5-2. Without approvalof CINIA TECH& TRADING,the agent has neitherrightnor duty to on behalfof CINIA TECH& TRADINGsignsales contractwi

28、th thecustomer, or receive payment.专业知识 -整理分享WORD 格式 -可编辑第六条用户意见代理人有权接受用户对产品的意见和申诉,及时通知CINIA TECH & TRADING公司并关注 CINIA TECH & TRADINGTECH公司的切身利益。6. The customer opinionThe agent has the rightto receivethe customer s opinionand complaints,and notifies to CINIA TECH & TRADINGTECH in time a

29、ccordingly in termsof protecting SSV s benefits.第七条提供信息代理人应尽力向CINIA TECH & TRADING公司提供商品的市场和竞争等方面的信息,每 _1_个月需向 CINIA TECH & TRADING公司寄送工作报告。7. Information provisionThe agentshallmake an efforttowardCINIA TECH& TRADINGTECHin terms of providinginformationofthe market and competition. Theag

30、entshallsubmita formalreportevery month to CINIA TECH & TRADINGTECH AB.第八条正当竞争8-1 代理人不应与 SSV公司或帮助他人与SSV公司竞争,也不应从与 SSV公司竞争的任何企业中获利。同时,代理人不应代理或销售与代理产品相同的产品。8. Perfect Competition专业知识 -整理分享WORD 格式 -可编辑8-1 The agents shouldn'tcompete withCINIA TECH& TRADINGorhelp othersto compete with CINIA

31、TECH & TRADING. The agents should not obtain anybenefitfrom another company, which is competing with CINIA TECH& TRADING.At the same time, the agent shouldn't act for or sell the same kind ofproduct, which is similar to SSV s product.8-2 此合约一经生效, 代理人应将与其他企业签订的有约束性的协议告知CINIATECH & TRA

32、DING公司。不论是作为代理的或经销的,此后再签定产品的任何协议均应告之 CINIA TECH & TRADING公司,代理人在进行其他活动时,决不能忽视其对 SSV公司承担的义务而影响任务的完成。8-2 As soon as this agreement is valid, the agent shall notify allstipulated contracts of whatever agential or marketing products withother companies to SSV. Allother contractsto be signed hencefor

33、thshallalso be notified to SSV. The agent shall not ignore the duty andresponsibilities to CINIA TECH & TRADINGdue to implementation of otheractivities.第九条保密9. Confidentiality9-1 代理人在协议有效期内或协议终止后,不得泄露CINIA TECH & TRADING公司的商业机密,也不得将该机密超越协议范围使用。专业知识 -整理分享WORD 格式 -可编辑9-1 The agent should not r

34、evealany confidentialinformationof CINIA TECH& TRADINGduring the implementation and after the termination of thisagreement. Also,the agent shallnot overstepthe confidentialityof thisagreement.9-2 所有产品设计和说明均属CINIA TECH & TRADING公司所有,代理人应在协议终止时归还给CINIA TECH & TRADING公司。9-2 All product desi

35、gns and introductions are belonging to CINIA TECH &TRADING. The agent should returnthem back to CINIA TECH& TRADINGafterthe termination of this agreement.第十条分包代理代理人事先经 CINIA TECH & TRADING公司同意后可聘用分包代理人,代理人应对该分包代理人的活动负全部责任。10. SubcontractThe agent can subcontractto otheragent afterthe app

36、rovalof CINIA TECH& TRADING. The agent is responsible for all activities for the subcontracted agents.第十一条工业产权的保护代理人发现第三方侵犯CINIA TECH& TRADING公司的工业产权或有损于CINIA TECH & TRADING公司利益的任何非法行为,代理人应及时据实向 CINIA TECH & TRADING公司报告。代理人应尽最大努力并按CINIA专业知识 -整理分享WORD 格式 -可编辑TECH & TRADING公司的指示,帮助

37、CINIA TECH & TRADING公司使其不受这类行为的侵害 .11. The protection of copyright,When the agent discovers that a third partner infringes on CINIA TECH & TRADING s copyright or benefit, the agent shall report hereby to CINIA TECH & TRADINGaccordingly in time. The agent shall undertake theutmost effortt

38、o avoiddamage from those activitiesaccordingto SSVs indication.第十二条技术帮助CINIA TECH & TRADING公司应帮助代理人培训雇员.在商业项目具体实施的情况下 , CINIA TECH & TRADING应培训代理人 , 使其获得代理产品的技术知识。具体费用由双方就具体情况商讨解决.12. Technical supportCINIA TECH & TRADINGshall assist the agent in training the appropriatestaff, under the

39、circumstance of a concrete business project, SSVshallconduct training course to the agent in order to obtain the appropriatetechnical knowledge. The expense of the training program is to bediscussed under the concrete project.第十三条佣金数额佣金分两种情况计算:13-1 按照 1-1 方式,代理人单独与用户签订销售合同:代理人的利益直接由产品价格差价获得。专业知识 -整理

40、分享WORD 格式 -可编辑13-2 按照 1-2 方式, CINIA TECH & TRADING公司、代理人与用户共同签订销售合同:代理人的佣金以每次售出并签字的协议产品销售额百分比为准.13. CommissionThere are two calculations of the commission:13-1 according to 1-1, the agent signs the sales contract with customerdirectly.The benefits of the agent are acquired by the differences of

41、purchasingand selling price.13-2 according to 1-2, the agent and CINIA TECH & TRADING sign the salescontract with the customer simultaneously:The commissionof the agentisbased on a percentageofthe contractsellingprice.第十四条商业失败、合约终止代理人所介绍的询价或订单,如CINIA TECH& TRADING公司不予接受则无佣金。代理人所介绍的订单合约已中止,代理

The business failure, contract termination专业知识 -整理分享WORD 格式 -可编辑If CINIA TECH& TRADINGdoes not accept or admit any queries or orders from the agent, then there is no commission to be paid to the agent. The agent has no right to demand any commission if the sales contract is delivered

43、 and terminated.第十五条佣金计算方法佣金以发票金额计算,任何附加费用如包装费、运输费、保险费、海关税或由进口国家回收的关税等应另开支票。15 The method of commission calculationThe commission is calculated on the amount of the invoice. Any other cost, for example, packing, transport, insurance, custom clearance or import custom, etc shall beinvoiced separately

44、.第十六条佣金的索取权代理人有权根据每次用户购货所支付的货款按比例收取佣金。如用户没支付全部货款,则根据 CINIA TECH & TRADING公司实收货款按比例收取佣金。16. Commission obtaining rightThe agent has the rightto obtainthe agreed commission accordingto eachorder. If the customer pays installment, then the agent obtains thecommission according to the received payme

45、nt per time.第十七条支付佣金的时间专业知识 -整理分享WORD 格式 -可编辑CINIA TECH & TRADING公司每季度应向代理人说明佣金数额和付佣金的有关情况, CINIA TECH& TRADING公司在收到货款后,应在30 天内支付佣金给代理人。17. Commission paying timeCINIA TECH & TRADING shall state to the agent about the commission and the related payment. CINIA TECH & TRADINGshall pay

46、the commission within 30 days to the agent after receiving the payment.第十八条支付佣金的货币佣金按成交的货币来计算和支付。18. Currency for the commissionThe commission is paid to the currency that is undersigned on the contract.第十九条排除其他报酬代理人在完成本协议之义务时所发生的全部费用,除非另有允诺,包括在第 13-2条之规定的佣金。19. Exclusion of other guerdon.Allcost ex
