Both parties adhere to relevant provisions of the state and this municipality re leva nt laws and regulati ons. 一、聘用期限 Employment Period 第一条期限为年,自年月日起至年月日止。 1. This contract will take effective from(dat

4、e, month,year) to(date, month, year). 二、工作内容及工作地点 Working Content And Working Location 第二条甲方根据工作需要聘用乙方从事工作。 2. Party A employ Party B to work in area according to the need of business. 第三条乙方的工作地点为。 3. Party Bs working place is . 第四条 乙方应按所在岗位和工作内容的要求,认真履行职责,按时完成工作任务,遵守甲方依法制定 的规章制度。 4. Party B shall f

5、ulfill his working duties according to the requirement of the post and job content and finish the work in time. Party B should abide by the rules and regulations in Party A. 第五条 根据工作需要,经双方协商一致,甲方可以调整乙方的工作岗位、工作地点。 5. If required by the work and with agreement by both parties, Party A can adjust Party

6、 B*s job title and work location. 三、工作时间和休息休假 Working Hours And Vacations 第六条根据乙方工作岗位的实际情况,确定工作时间按以下第种工时工种制执行。 6. According to the actual situation of Party Bs job, optionof the following would be chosen to be the working times schedule (一)标准工时工作制:每日工作不超过八小时,且甲方应保证乙方每周至少休息一天。 Standard working hours:

7、 Work no more than eight hours a day, and Party A shall ensure at least one off-day each week for Party B (二)不定时工作制:甲方在保障乙方身体健康并充分听取乙方意见的基础上,应采用集中休息、轮休 调休、弹性工作时间等适当方式,确保乙方的休息休假权利和生产工作任务完成。 Non-fixed working hours: With consideration for Party Bs health condition and suggestions, Party A would adopt

8、a proper way including concentrated rest, paid leave, flexible working hours to ensure Party B*s right on rest and vacations with completion of Party Bs work. (三)其他类型的作息时间: Other types of working hours: 四、劳动报酬 Payment 第七条 乙方的薪酬标准为:每月支付乙方工资元(税前)。 7. Party Bs standard salary is:RMB per month (before t

9、ax). 第八条甲方每月日前以银行划账形式支付乙方工资。 8. Party A would pay Party B before everyof the month through bank transfer. 第九条甲方依法从乙方工资中代扣代缴乙方应向国家缴纳的个人所得税及法定可代扣代缴的其他费 用。 9. Party A would withhold Party Bs due personal income tax and other legally charged fees from Party Bs salary. 五、劳动保护、劳动条件和职业危害防护 Labor Protection

10、, Working Conditions And Occupational Hazard Protection 第十条甲方根据乙方岗位的实际情况,向乙方提供符合国家规定标准的劳动保护用品。 10. According to the actual situation of Party Bs job requirement, Party A shall provide labor protection articles qualified for provisions of the state standard. 第十一条 甲方为乙方提供符合国家安全卫生标准的工作场所和完成工作任务所必须的劳动工具

11、。 11. Party A should provide work places qualified for national safety and health standards and tools necessary for the job. 第十二条 甲方根据国家有关法律法规,建立健全安全生产制度和职业危害防护制度,双方应当严格遵 守,严禁违章作业,防止事故的发生,减少职业危害。 12. Party A shall establish safe production system and occupational hazards protection system according

12、to relevant state laws and regulations. Both parties shall strictly abide by it to avoid illegal operation and prevent accidents which may cause occupational hazards. 第十三条 乙方对甲方管理人员违章指挥、强令冒险作业,有权拒绝执行;对危害生命安全和身体健康 的劳动条件,有权提出批评、检举和控告。 13. Party B is entitled to decline any violated order or forcing of

13、 risk duties. Party B has the right to criticize, impeach and charge to any labor conditions which may endanger his/her life safety and body health. 六、劳动纪律 Labor Discipline 第十四条 遵守国家法律、法规及甲方指定的各项规章制度,遵守职业道德,维护甲方的荣誉和利益, 按时保质保量地完成工作任务是乙方应尽的义务。 14. Party B shall comply with national laws, regulations a

14、nd rules pointed by Part A, abide by professional ethics, protect the honors and interests of Party A and ensure his/her completed staff work. 第十五条乙方应遵守甲方根据生产经营需要依法指定的规章制度和劳动纪律。如乙方违反甲方指定的 规章制度和劳动纪律,甲方有权根据规章制度进行处理。 15. Party B should abide by the specified rules, regulations and labor discipline spec

15、ified by Party A according to the needs of business operation. Party A has the right to proceed with rules and regulations if there are violations to the rules, regulations and labor discipline from Party B. 第十六条甲方的各类规章制度,及甲乙双方签订的有关协议均为本合同的有效补充,与本合同具有同 等的法律效力。 16. All rules and regulations, includin

16、g agreements signed by Party A and Party B aside from this contract, have the equal legal effect as this contract. 七、合同的履行、变更、解除、终止、续订 Implement, Change, Remove, End and Renew Of The Contract 第十七条 聘用合同期满前一个月,经双方协商同意,可以续订聘用合同。 17. Agreed by both parties, Party A and Party B can sign a renew contract

17、a month before the expiry date of the contract. 第十八条下列情形之一本合同可终止 18. Following situations may cause contract termination (一)本合同期满 The contract expires (二)双方就解除本合同协商达成一致 Both parties agree on termination of the contract (三)签订合同时的客观条件发生变化,无法继续履行合同 The objective conditions changes and the contract cann

18、ot continue to perform (四)乙方由于健旗原因不能继续履行本合同义务的 Due to Party Bs health problems, he/she cannot continue to perform the obligations of this contract (五)其他情况: Other conditions: 第十九条 甲、乙双方若单方面解除本合同,可提前三十天以书面形式告知对方即可。 19. To terminate this contract from a single party, he/she needs to inform the other pa

19、rty in written form 30 days in advance. 第二十条 本合同终止、解除后,乙方应在30天内将有关事项及因履行本协议从甲方处取得的资料文 件等向甲方移交完毕,并附书面说明;移交完毕后公司将在下一工资发放日结算并发放剩余报酬;如未履 行相关交接工作并给甲方造成损失,应予赔偿。 20. Once remove or expiration of the contract, Party B shall return releva nt matters including documents and information obtained from Party A w

20、ithin 30 days with written statement. After duty transfer, the company will settle the rest payment on the next payroll day. Any losses caused by incapable of complete transfer would be asked for compensation to Party A. 八、特别约定及其它事项 Other Matters 第二十一条 乙方变更通信地址或手机、固定电话等其它联系方式时,应当于变更发生之日起十日内书 面通知甲方。

If Party B changes communication address or other contact information, such as the cell number and fixed telephone, he/she shall give a written notice to Party A within ten days from the changes 第二十二条本合同未尽事宜,双方可以协商签订补充协议,补充协议与本合同具有同等效力。 22. For items not mentioned in this con tract, both parties

22、 can negotiate to sign a supplementary agreement Supplementary agreement enjoys same legal effect as this contract 第二十三条 本合同自甲、乙双方盖章或签字之日起生效。本合同一式两份,甲乙双方各执一份。 23. This contract is effective by signatures of both parties This contract is made in duplicate and each party holds one counterpart 第二十四条甲方的

23、员工手册和规章制度为本合同附件。 5页脚内容 24. Handbook and other rules and regulations legally stipulated by Party A are annexes of this con tract 甲方(盖章): Party A (stamp): 乙方(签字并加盖指印): Party B (signature): 凝负责人章) 补充协议 (1) The notice of termination must be submitted in writing. 有关终止合同的通知必须以书面形式提交。 (2) A revocation of t

25、evelopment manager of this Agreement shall not be affected by the revocation. 提交重要原因并经股东会通过,可以随时废除该合同。重要原因应包括失职或不能胜任该职位。研发中心总经 理若提出补偿索赔要求,将不受到合同废除影响。 HR:介同的解除及补偿中国是有相关法律规定的,如岀现以匕情况依据中国法律规怎执行。不建议合同中约定 (3) The contractual relationship ends without notice at the end of the month in which his head of de

Years of age (depending on age development manager). 合同将在研发中心总经理年满65/66/67岁(依据研发中心总经理年纪而怎)的当月末自动失效匚 HR:因Manfred年龄达到中国法律规定退休年龄,因此不存在退休等问题。可通过合同约左期限或相关解除条 款等方式解除合同 不建议合同中约定 (4) If the head of development in accordance with a medical certificate permanently no longer able to fulfill

27、 its duties under this contract, the employment contract expires at the end of the month in which a doctor has reached that conclusion. The permanent incapacity is indisputably assumed if a disease-related disability uninterrupted nine months or a Ion ger period In the event of termi nation of emplo

28、yme nt due to permane nt disability, the developme nt manager is entitled to a severanee payment of three times the basic monthly salary within the meaning of 若研发总经理提交医疗证明,证明其本人永久性不能履行此合同下其职责,劳动合同将在医生的证明下在当月 月末失效。关于永久丧失工作能力泄义为本人在持续的九个月或更长的时间里受到疾病相关的残疾,研发中心总 经理将有权获得每月基本工资(4第一条所圧的)三倍的遣散费, HR:因病不能继续履行合

31、.1.2017进行。 HR:依据公司相关规左执行,不建议写入合约 (7) The Company presented the development manager with a company car, which may also be used for private trips. The choice of company car is subject to the policy for company vehicles of the company. 公司将为受雇人提供一辆公 司汽车,受雇人可以用于私人需求。公司汽车的选择将依据公司对车辆使用的政策来安排。 HR:我司行政部门会依据公

32、司规宦进行安排,但目前并没有车辆直接提供。请领导确认,是否同意 (8) The Company will make the development manager for an apartment in the upscale standard 公司将为受雇人提供一处以高档标准要求的住所 HR:我司行政部门会依据公司规泄进行安排,请领导确认,是否同意 (9) The Head of Development has in the case of medically diagnosed sick leave are entitled to continued remuneration in case of sick ness for a period of six months The en titlement to continued rem un eration in eludes all financial benefits of this co
